Terms & Conditions
Effective Date: October 17, 2026
These Terms & Conditions govern your access to and use of the FluxionWatt website, cloud platform, documentation, and related services (collectively, the "Services") provided by FluxionWatt and its affiliates (collectively, "FluxionWatt", "we", "us", or "our"). By accessing the website or using any Services, you agree to be bound by these Terms. If you do not agree, please do not use the website or the Services.
1. Acceptance and Scope
These Terms apply to all visitors and users of the Services, including visitors browsing product information, registered users of the cloud platform, and recipients of demo or trial accounts. Where a separate written agreement governs a specific product or project, that agreement prevails over these Terms for its subject matter.
2. Changes to These Terms
We may revise these Terms at any time at our discretion. Updated versions will be posted on this page with a revised effective date. Continued use of the website or Services after changes are posted constitutes acceptance of the revised Terms. For material changes, we will provide reasonable notice through the website or direct communication where appropriate.
3. Intellectual Property
The website, documentation, software, logos, and all content provided through the Services are owned by FluxionWatt or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, revocable license to access and use the Services for your personal or internal business purposes. You may not copy, modify, redistribute, resell, or create derivative works from any part of the Services without our prior written consent, except where expressly permitted. You may not remove or obscure any copyright or proprietary notices.
4. Access to the Services
You may access the website using standard browser software. You are responsible for obtaining and maintaining the equipment, network access, and internet services required to use the Services, including any fees charged by your internet service provider. We are not responsible for interruptions or risks inherent to public networks, including transmission errors, outages, or security incidents beyond our reasonable control.
5. Device Installation and Remote Support
For products such as TigerLogger and EMS, installation, commissioning, and operation should follow the official documentation provided by us and the device manufacturers. With your authorization, FluxionWatt may use remote diagnostic and maintenance tools to deliver technical support, deploy configuration changes, and install firmware or software updates. Remote operations are performed with appropriate notice and safeguards. We are not liable for issues arising from unauthorized modifications, use of non-qualified equipment, or operation outside documented specifications.
6. Accounts and Notices
Where the Services require an account, you are responsible for the accuracy of registration information, the confidentiality of credentials, and all activities under the account. Notices related to these Terms or the Services may be sent to the email address associated with your account. You agree to receive service-related electronic communications; promotional communications can be managed per our Privacy Policy.
7. Feature Updates
We may introduce new features or modify or remove existing features at our discretion. Where required by law, we will notify you of significant changes. Product firmware and cloud components may be updated remotely as part of normal service operation, in accordance with documented update policies.
8. Fees
General access to the corporate website and documentation is free of charge. Fees for the cloud platform, premium features, and commercial support, where applicable, are defined in separate agreements or order confirmations between FluxionWatt and the customer.
9. Disclaimer and Limitation of Liability
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. FluxionWatt is not liable for indirect, incidental, special, or consequential damages, including loss of profit or energy production, arising from the use of or inability to use the Services, except where such liability cannot be excluded by law. Nothing in these Terms limits liability for willful misconduct or gross negligence where applicable law so provides.
10. Your Obligations
You agree to use the Services lawfully, comply with applicable laws and regulations, follow product documentation, and not interfere with or disrupt the operation of the Services or unauthorized access to any account, device, or data.
11. Termination
We may suspend or terminate access to the Services, in whole or in part, if you materially breach these Terms, fail to meet payment obligations under an applicable agreement, or where required by law. Upon termination, provisions that by their nature should survive — including intellectual property, disclaimers, and limitation of liability — remain in effect.
12. Indemnification
You agree to indemnify and hold FluxionWatt and its officers, employees, and agents harmless from claims, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms or your unlawful use of the Services, to the extent permitted by law.
13. Communications
Unless stated otherwise, communications you send to us through the website or email are considered non-confidential. We may use such communications to improve the Services, subject to our Privacy Policy. Personal data handling is described in our Privacy Policy.
14. Open Source Software
Certain components used in our products or tooling may be subject to open source licenses. Such components are licensed under their respective license terms, and nothing in these Terms limits your rights under those licenses.
15. Third-Party Links and Content
The website may contain links to third-party websites for reference. We do not control and are not responsible for the content, accuracy, or practices of third-party websites. Your use of third-party websites is at your own risk and subject to their terms.
16. Severability and Governing Law
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision will be replaced to reflect the original intent as closely as possible. These Terms are governed by the laws of the jurisdiction where the contracting FluxionWatt entity is established, unless otherwise agreed in a separate written agreement. You are responsible for complying with local laws applicable to your access and use.
